1. AGREEMENT TO TERMS

By accessing, visiting, or using the Robinson Digital Solutions website, software platform, AI agents, voice systems, SMS communications, and related services (collectively, "Service" or "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use the Service.

These Terms apply to all users, including but not limited to customers, visitors, and individuals who receive communications from our AI systems on behalf of our clients.


2. DEFINITIONS

"Company," "we," "us," "our" = Robinson Digital Solutions

"User," "you," "your" = Any person or entity accessing our Services

"Client" = A business that subscribes to our platform and automation services

"End User" = A person who receives communications (calls, SMS, emails) from a Client's AI systems powered by our Service

"AI Agent" = Automated conversational voice or text systems that interact on behalf of Clients

"Platform" = Our software, website, API, and related technology infrastructure

"Content" = Text, data, recordings, transcripts, and information processed through our Service


3. SERVICE DESCRIPTION

Robinson Digital Solutions provides:

Conversation AI Systems - Automated chat, email, and voice response systems ✓ Voice AI Agents - Automated calling systems for outbound and inbound calls ✓ Workflow Automations - Lead scoring, routing, and follow-up automation ✓ Multi-Channel Communication - Unified inbox for SMS, email, chat, and voice ✓ Lead Nurturing Sequences - Automated email and SMS sequences ✓ CRM Integration - Data syncing and workflow management ✓ Analytics & Reporting - Performance tracking and dashboards

Our Services are cloud-based software delivered on a subscription basis.


4. ACCOUNT & REGISTRATION

4.1 Creating an Account

To use our Services, you must:

Create an account with accurate, current information

Be at least 18 years old (or the age of majority in your jurisdiction)

Not be a person or entity restricted under U.S. sanctions or export controls

Provide valid billing information

4.2 Account Security

You are responsible for:

Maintaining the confidentiality of your login credentials

Preventing unauthorized access to your account

Immediately notifying us of any unauthorized access

All activities that occur under your account

We are not liable for unauthorized access due to your failure to protect credentials.

4.3 Account Termination

You may request account termination at any time by contacting [email protected]. Upon termination:

Your access to the Service stops immediately

We retain data as required by law or our retention policies

You remain liable for any outstanding charges


5. USER RESPONSIBILITIES & PROHIBITED CONDUCT

5.1 You Agree Not To:

Illegal Activity

Violate any local, state, or federal law

Engage in fraud, phishing, or deceptive practices

Facilitate illegal gambling, drugs, weapons, or exploitation

Harmful Content

Use AI agents to harass, threaten, or abuse any person

Send defamatory, obscene, or hateful content

Impersonate others or misrepresent your identity

Create deepfakes or misleading audio/video content

Violations of Rights

Violate anyone's privacy or intellectual property

Spam or send unsolicited communications

Send communications to people who have not consented

Violate Do Not Call registries or similar regulations

System Abuse

Attempt to gain unauthorized access to our systems

Reverse engineer or attempt to extract our code

Overwhelm our systems with requests (DDoS attacks)

Interfere with the Service's normal operation

Attempt to bypass security measures

Data Violations

Upload personal data without proper consent

Use the Service to process credit card information (except through approved payment processors)

Violate GDPR, CCPA, or other data protection laws

Disclose others' sensitive information without consent

5.2 TCPA & Communication Law Compliance

By using our Voice and SMS Services, you certify that you:

✓ Have obtained express written consent from all recipients before contacting them ✓ Will honor Do Not Call (DNC) preferences and opt-out requests ✓ Understand the TCPA Telephone Consumer Protection Act requirements ✓ Will not use automation to call emergency services, hospitals, or cell phones except as permitted by law ✓ Will not use our systems for debt collection, harassment, or fraud ✓ Will include your business name and contact information in all messages ✓ Will disclose that communications are automated when required

Violations may result in:

Account suspension or termination

Liability for FCC and TCPA fines

Legal action by affected parties

You are solely responsible for compliance with TCPA, FCC regulations, and state/federal communication laws.


6. PRICING, BILLING & PAYMENT

6.1 Subscription Plans

Our Services are offered on a monthly subscription basis. Pricing varies based on:

Selected features and automation systems

Number of contacts/users

Volume of communications

Integration complexity

6.2 Billing

Billing Cycle:

Charges are billed monthly on your subscription start date

Billing occurs automatically via your payment method

Invoices are sent to your email address on file

Payment Methods:

Credit card, debit card, or ACH transfer

All payments must be in USD

Payment processing is handled by third-party providers

6.3 Price Changes

We may change pricing with 30 days' notice. Changes apply to your next billing cycle. If you disagree with price changes, you may cancel your subscription before the change takes effect.

6.4 Non-Refundable Charges

All subscription fees are non-refundable. We do not offer refunds for:

Unused service during a billing period

Downgrading to a lower tier mid-cycle

Service cancellation

Exception: If we discontinue your Service without cause, we will refund the prorated portion of your current month.

6.5 Past Due Accounts

If payment is not received:

After 5 days: Account flagged and warning issued

After 15 days: Service may be suspended

After 30 days: Account may be terminated

We may pursue collection for outstanding balances

Late fees may apply per your plan agreement.


7. INTELLECTUAL PROPERTY RIGHTS

7.1 Company IP

All content, software, code, design, functionality, and documentation related to our Service are owned by Robinson Digital Solutions or our licensors. This includes:

The Platform itself

AI algorithms and automation logic

Logos, trademarks, and branding

Documentation and training materials

Reports and analytics templates

You receive a limited, non-exclusive license to use these materials for your business purposes only.

7.2 Your Content

You retain ownership of any data, customer information, or content you upload to our Service. However, you grant us:

The right to process, store, and analyze your content

The right to use aggregated/anonymized data for product improvement

The right to back up your data for security purposes

7.3 Restrictions

You may not:

Copy, modify, or create derivative works of the Service

Reverse engineer or attempt to extract our source code

Remove copyright or proprietary notices

Use the Service to develop competing products

Sell, transfer, or assign your license


8. SERVICE MODIFICATIONS & AVAILABILITY

8.1 Right to Modify

We may modify or discontinue features at any time. We will provide 30 days' notice of material changes that negatively impact your use.

8.2 Uptime & Service Availability

We aim for 99.5% uptime (excluding scheduled maintenance). However:

We do not guarantee uninterrupted service

Scheduled maintenance may occur with notice

Emergency maintenance may occur without notice

We are not liable for downtime or service interruptions

8.3 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backups of important data. We are not liable for data loss.


9. WARRANTIES & DISCLAIMERS

9.1 "AS-IS" Service

The Service is provided "AS-IS" and "AS-AVAILABLE." We make no warranties, express or implied, regarding:

Merchantability or fitness for a particular purpose

Accuracy, reliability, or completeness of the Service

Freedom from errors or viruses

Availability or uptime guarantees

9.2 AI Agent Disclaimer

Important: Our AI Agents are automated systems that:

Are not human representatives

Cannot provide legal, medical, or professional advice

May make errors or provide inaccurate information

Should not be relied upon for critical decisions

You are responsible for:

Verifying AI responses for accuracy

Overseeing AI interactions with your customers

Managing and correcting AI mistakes

Ensuring AI communications comply with all laws


10. LIMITATION OF LIABILITY

10.1 Maximum Liability

To the maximum extent permitted by law, Robinson Digital Solutions' total liability for any claims arising from these Terms or the Service shall not exceed the fees you paid in the 12 months preceding the claim (minimum $100).

10.2 Excluded Damages

We are not liable for any:

Indirect, incidental, or consequential damages

Loss of profits, revenue, or business

Loss of data or information

Damage to reputation or brand

Personal injury or property damage

Even if we have been advised of the possibility of such damages

10.3 Third-Party Claims

We are not liable for:

Claims by your customers or end users

TCPA violations or FCC fines

Actions taken by our AI agents on your behalf

Damage caused by your use of the Service

You are solely responsible for monitoring and correcting AI agent behavior.


11. INDEMNIFICATION

You agree to indemnify and hold harmless Robinson Digital Solutions, its officers, employees, and agents from any claims, damages, or costs arising from:

Your use of the Service

Your violation of these Terms

Your violation of any law or regulation

Claims by third parties (including your customers)

Content you upload or communications you send

TCPA, FCC, or other regulatory violations

Unauthorized access to your account

This includes legal fees, court costs, and settlements.


12. DATA & PRIVACY

12.1 Data Processing

Our Privacy Policy (available at robinsondigitalsolutions.com/privacy) governs how we collect and use data. By agreeing to these Terms, you agree to our Privacy Policy.

12.2 Data Security

You acknowledge that:

No system is 100% secure

Data may be intercepted or breached despite our efforts

We use industry-standard security but cannot guarantee protection

You use the Service at your own risk

12.3 Customer Data Responsibility

You are responsible for:

Obtaining consent before sending customer data to our Service

Complying with GDPR, CCPA, and other data laws

Ensuring your customers' data is accurate and legal to process

Informing customers that you use automated systems


13. THIRD-PARTY SERVICES & INTEGRATIONS

Our Service may integrate with third-party platforms (Stripe, Zapier, email providers, etc.). We are:

Not responsible for third-party service performance

Not liable for third-party data breaches

Not liable for third-party fee changes or service discontinuation

Not responsible for compliance with third-party terms

You are responsible for reviewing and complying with third-party terms.


14. TERMINATION

14.1 Termination by You

You may cancel your subscription at any time by:

Logging into your account and selecting "Cancel Subscription"

Your cancellation is effective at the end of your current billing period

14.2 Termination by Us

We may terminate your account immediately if you:

Violate these Terms

Violate TCPA, FCC, or other laws

Send spam or harassing communications

Attempt to access our systems without authorization

Cause harm to our Service or other users

Have unpaid charges beyond 30 days

14.3 Effect of Termination

Upon termination:

Your access to the Service stops immediately

Charges stop accruing (except outstanding balances)

Your data remains stored per our retention policy

Restrictions on your conduct remain in effect


15. DISPUTE RESOLUTION

15.1 Informal Resolution

Before initiating legal proceedings, you agree to:

Allow 30 days for us to respond and attempt resolution

Negotiate in good faith to resolve the dispute

15.2 Binding Arbitration

Any disputes shall be resolved by binding arbitration, not in court, except:

Small claims court (up to $5,000)

Injunctive relief for account misuse

Arbitration Terms:

Arbitration occurs in the state where Robinson Digital Solutions is located

Each party bears its own arbitration costs

The arbitrator's decision is final and binding

Limited appeal rights apply


16. GOVERNING LAW

These Terms are governed by the laws of Ontario, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts in [YOUR STATE/COUNTY].


17. PROHIBITED JURISDICTIONS

Our Service is not available to persons in:

Countries subject to U.S. sanctions or embargoes

Individuals on the OFAC Specially Designated Nationals List

Persons who have violated U.S. export controls

Continued use confirms you are not in a prohibited jurisdiction.


18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Robinson Digital Solutions regarding the Service and supersede all prior agreements.

18.2 Modifications

We may modify these Terms at any time. Changes are effective when posted to the website. Your continued use of the Service constitutes acceptance.

18.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in effect.

18.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

18.5 Assignment

You may not assign these Terms or your rights under them. We may assign these Terms to our successors or affiliates. Any assignment without permission is void.

18.6 Survival

Provisions that by their nature should survive termination remain in effect, including:

Indemnification

Limitation of liability

Dispute resolution
